1. Acceptance of Terms

By accessing, browsing, or using the ValuSnapAI mobile application ("App"), the ValuSnapAI website located at valusnap.app ("Website"), or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease all use of the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and ValuSnapAI ("Company," "we," "us," or "our"). Your continued use of the Platform following any changes to these Terms constitutes acceptance of those changes.

2. Description of Services

The Platform provides AI-powered valuation tools, item analysis, portfolio tracking, price predictions, discovery feeds, editorial content, and educational information related to collectibles, luxury goods, and physical assets (collectively, the "Services").

2.1 Nature of Services

The Services are provided for informational and educational purposes only. The Platform does not provide investment advice, financial planning services, or recommendations to buy, sell, or hold any items or securities. All content, analysis, and tools are provided "as is" without any warranty of accuracy, completeness, or reliability.

2.2 Not Financial Advice

UNDER NO CIRCUMSTANCES SHOULD ANY INFORMATION OR CONTENT FROM THIS PLATFORM BE CONSIDERED AS INVESTMENT ADVICE, FINANCIAL ADVICE, TAX ADVICE, OR LEGAL ADVICE. The Platform is not a registered investment adviser, broker-dealer, or financial planner. All investment and purchase decisions are solely your responsibility. AI valuations are estimated market values only — they are NOT professional appraisals.

3. User Eligibility & Accounts

3.1 Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old, you have the legal capacity to enter into these Terms, you are not prohibited from using the Platform under applicable laws, and all information you provide is accurate, current, and complete.

3.2 Account Registration

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraudulent activity, or any conduct we deem harmful to the Platform or other users.

4. User Conduct & Restrictions

You agree not to:

• Use the Platform for any illegal purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to any portion of the Platform or its systems.
• Interfere with or disrupt the Platform or servers connected to the Platform.
• Use any automated means, including robots, spiders, or data mining techniques, to access or use the Platform.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without express written permission.
• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Impersonate any person or entity or falsely state your affiliation with any person or entity.
• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Platform or its algorithms.
• Use the Platform to develop a competing product or service.
• Resell, redistribute, or sublicense access to the Platform or its outputs without authorization.

5. Subscription Terms

The Service offers both a free tier and a paid subscription ("ValuSnapAI PRO").

• Free Tier: Limited scans per day, ad-supported experience, and access to basic features including portfolio tracking and the discovery feed.
• PRO Monthly: $19.99 per month. Unlimited scans, price predictions across 1, 5, 10, 25, 50, and 100-year timeframes, ad-free experience, priority AI processing, and full portfolio analytics.
• PRO Annual: $199.99 per year (equivalent to $16.67/month). All PRO Monthly features.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period. Manage subscriptions via device Settings → [Your Name] → Subscriptions.

Free Trial: We may offer a 7-day free trial for new PRO subscribers. If you do not cancel before the trial ends, you will be automatically charged. Free trial eligibility is determined by Apple and may be limited to one trial per Apple ID.

Refunds: Payments are processed through Apple's App Store. All refund requests must be directed to Apple in accordance with their refund policy.

6. Intellectual Property Rights

6.1 Platform Content

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, algorithms, and analysis tools, is the property of ValuSnapAI or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. This license does not include any right to modify or download content except for page caching, use the Platform for commercial purposes without written consent, create derivative works based on Platform content, or use data mining, robots, or similar data gathering tools.

6.3 User Content

Any content you submit, post, or display on the Platform ("User Content") remains your property. However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, analyze, and store such content solely for the purpose of providing and improving the Service, including generating AI valuations.

The ValuSnapAI name, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of ValuSnapAI. You may not use such marks without our prior written permission.

7. Disclaimers & Limitation of Liability

7.1 General Disclaimer

THE PLATFORM AND ALL CONTENT, SERVICES, AND TOOLS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, AND THAT ANY ERRORS WILL BE CORRECTED.

7.2 Valuation & Investment Risk Disclaimer

AI VALUATIONS ARE ESTIMATES ONLY. ALL INVESTMENT AND PURCHASING DECISIONS INVOLVE RISK, INCLUDING THE POSSIBLE LOSS OF PRINCIPAL. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. ALL DECISIONS ARE MADE AT YOUR OWN RISK. You acknowledge that all valuations, analysis, price predictions, and "Sentiment Signals" are for informational purposes only, we do not guarantee the accuracy of any financial data, calculations, or projections, you should consult with qualified professionals before making any decisions, and market conditions can change rapidly and unpredictably.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VALUSNAP AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE PLATFORM, ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, ANY CONTENT OBTAINED FROM THE PLATFORM, UNAUTHORIZED ACCESS TO YOUR TRANSMISSIONS OR CONTENT, OR ANY INVESTMENT OR PURCHASING DECISIONS MADE BASED ON INFORMATION FROM THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8. Indemnification

You agree to defend, indemnify, and hold harmless ValuSnapAI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your User Content, your use of the Platform, or your violation of any rights of another party.

9. Third-Party Links & Services

The Platform may contain links to third-party websites, services, or resources, including marketplace platforms (eBay, StockX, GOAT, Heritage Auctions, etc.), AI processing providers, advertising networks, and analytics services. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your interactions with third-party services are solely between you and the third party.

10. Data Usage & Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

11. Governing Law & Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good faith negotiation. If such negotiation fails, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Hillsborough County, Florida, or at another mutually agreed location.

11.3 Class Action Waiver

YOU AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11.4 Opt-Out

You may opt out of this arbitration provision by sending written notice to legal@valusnap.app within 30 days of first accepting these Terms.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Platform after any revisions become effective, you agree to be bound by the revised terms.

13. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. You may terminate your account at any time through Settings → Account → Delete Account. Termination does not entitle you to a refund of subscription fees already paid. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, Investment Disclaimer, and any other legal notices published by us on the Platform, shall constitute the entire agreement between you and us concerning the Platform and supersede all prior agreements, representations, warranties, and understandings.
